These Terms of Service ("Terms") govern your use of the website at dpnmediaworks.com and, where you engage us, the provision of services by DPN Media Works ("we", "us" or "our"), a media, technology and communications agency based in Roseau, Dominica. By using this website or engaging our services, you agree to these Terms.
What these Terms cover. These Terms apply to this website and to engaging us for agency work. Purchases of our software products, licenses, digital downloads and subscriptions through the Client Portal are governed by the Client Portal Terms of Service.
1. Use of the website
You may use this website for lawful purposes only. You agree not to misuse it, interfere with its operation, attempt unauthorised access, or use it in any way that could damage, disable or impair the site or interfere with others' use of it. The rules in Acceptable use below apply to the website and to any service we host or manage for you.
2. Acceptable use
You must not use this website, or any hosting, application or managed service we provide, to:
- Break any applicable law or regulation, in Dominica or in any other jurisdiction that applies to you.
- Infringe intellectual property rights, or upload material you do not have the right to use.
- Distribute malware, viruses or other harmful code, or send spam, phishing or unsolicited bulk communications.
- Harass, defame, threaten or harm others, or publish unlawful, obscene or hateful content.
- Attempt unauthorised access to any system, account or data, or probe, scan or test the vulnerability of our infrastructure.
- Interfere with or disrupt the integrity or performance of our services, including through denial-of-service activity or excessive resource use.
- Misrepresent your identity or affiliation, or act in a fraudulent or deceptive way.
If we host or manage a site or application for you, you are responsible for its content and data and for ensuring both comply with the law and this section. Keep your credentials confidential and tell us promptly about any suspected security incident. We may suspend or restrict access where use breaches this section or exposes us or others to risk; where practical we will give you the chance to remedy the issue first. To report abuse, contact us at [email protected]. Use of our software products and the Client Portal is governed by the Client Portal Usage Policy.
3. Engaging our services
Our services include website and application development, digital media production, branding, automation and AI, cloud hosting and ongoing platform administration. A binding engagement begins only once we have agreed a written proposal, statement of work or contract with you. These Terms apply alongside any such agreement; where they conflict, the signed agreement prevails.
4. Quotations & scope
Any prices shown on this website are baseline estimates for guidance only. A firm quotation is provided after a consultation, once the scope is defined. Work outside the agreed scope ("change requests") may be quoted separately and may affect timelines and cost. We will confirm material changes with you before proceeding.
5. Fees, invoicing & taxes
- Fees, payment schedule and milestones are set out in your proposal or contract. Unless stated otherwise, deposits are required before work begins.
- Invoices are payable by the due date stated. Late payment may result in suspension of work or services.
- Ongoing support and hosting may be provided on a monthly retainer, agreed in advance.
- Fees are exclusive of any applicable taxes, duties or third-party charges unless expressly stated.
6. Intellectual property
Unless your agreement states otherwise, ownership of final deliverables transfers to you upon full payment. Until then, all work product remains our property. We retain ownership of our pre-existing tools, frameworks, libraries and know-how, and may reuse general skills and non-confidential techniques. We may display completed work in our portfolio unless you ask us in writing not to. Content, assets and materials you provide remain yours, and you grant us the licence needed to perform the work.
7. Client responsibilities
- Provide accurate information, content, approvals and access in a timely manner.
- Ensure you have the rights to any materials you supply (text, images, logos, fonts, data).
- Review deliverables and provide feedback within agreed timeframes; delays on your side may shift the schedule.
- Maintain your own backups of critical data unless we have agreed to provide that service.
8. Third-party services
Our work may rely on third-party platforms, hosting providers, APIs, plugins or software. These are governed by their own terms, and we are not responsible for their availability, changes or actions. We will use reasonable care in selecting and configuring them.
9. Warranties & disclaimers
We provide our services with reasonable skill and care. Except as expressly stated in your agreement, the website and services are provided "as is" and "as available", and we disclaim all other warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with an engagement will not exceed the fees paid by you for the specific services giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
11. Term & termination
Either party may terminate an engagement as set out in the applicable agreement. On termination, you will pay for work performed up to the termination date. Provisions relating to payment, intellectual property, confidentiality, disclaimers and limitation of liability survive termination.
12. Governing law & jurisdiction
These Terms are governed by the laws of the Commonwealth of Dominica, without regard to conflict-of-law rules, and the courts of Dominica have jurisdiction over any dispute, unless a signed client agreement specifies a different governing law or dispute-resolution process. Where mandatory consumer-protection laws of your country of residence apply, those protections are not affected.
